Terms and Conditions

These Terms and Conditions (the “Terms”) govern the rights and obligations between Vassweb s. r. o., Company ID (IČO) 56921021, Tax ID (DIČ) 2122501524, VAT ID (IČ DPH) SK2122501524, with its registered office at Školská 981/36, 931 01 Šamorín, registered in the Commercial Register of the Trnava District Court, Section Sro, Insert No. 59422/T (the “Provider” or “we”), and the user of the Terminuj service (the “User” or “you”).

The Terminuj service (available at the domains app.terminuj.com and terminuj.com) is a SaaS booking system for sole traders and small and medium-sized businesses in the European area. Primary localisation: the Slovak market.

The service may only be ordered by a business — a natural or legal person acting within the scope of its business activity (§ 2 of the Slovak Commercial Code). A consumer within the meaning of Slovak Act No. 108/2024 Coll. on consumer protection may not enter into the contract. By registering, the User declares that it is acting as a business. The contractual relationship is governed by the Commercial Code (Obchodný zákonník). Clients of the businesses who book an appointment through the service enter into a contract directly with the business, not with the Provider.

• Business — a business account created by the User (e.g. a beauty salon, a doctor’s surgery), within which the User manages bookings.
• Business’s Customer — a natural person who books an appointment through a Business. The Business ↔ Customer relationship exists solely between them; the Provider is only a technical intermediary.
• Plan — the pricing tier of the service (a 14-day free trial, Pro 9,00 € / month, Salón 29,00 € / month, Studio 59,00 € / month; prices exclusive of VAT). Details in the “Pricing” section of the home page.

Registration by e-mail is required to use the service. Sign-in is via a one-time link or a code from an e-mail; optionally a password for the mobile app and Face ID / fingerprint (passkey) or a PIN to lock the dashboard. For business accounts, we recommend adding the IČO, DIČ and IČ DPH in the “Business branding” section — this data is used for invoicing.

Current prices are stated exclusive of VAT (VAT at 23% is added under § 27 of Slovak Act No. 222/2004 Coll. on value added tax):

• Trial period — €0, 14 days from registration, no booking limit, 1 signed-in user. A business (IČO) is entitled to the trial only once: on registration we verify the IČO in the register (RPO, ARES) and may verify the phone number with an SMS code. If the IČO has already had a trial, or if you do not enter an IČO, the business is created without a trial and accepts new bookings once a paid plan is chosen. A match of the IP address, device or phone with a previous trial is assessed by a person, not by an automated system. After the trial ends, no new bookings are accepted until the business chooses a paid plan; stored data and the export remain available.
• Pro — 9,00 € / month excl. VAT (11,07 € incl. VAT) or 90,00 € / year excl. VAT (110,70 € incl. VAT) (unlimited bookings, 1 signed-in user)
• Salón — 29,00 € / month excl. VAT (35,67 € incl. VAT) or 290,00 € / year excl. VAT (356,70 € incl. VAT) (unlimited bookings, up to 5 signed-in users)
• Studio — 59,00 € / month excl. VAT (72,57 € incl. VAT) or 590,00 € / year excl. VAT (725,70 € incl. VAT) (unlimited bookings, unlimited signed-in users)

Card payment via Stripe (subscription model). Stripe creates an invoice for each paid period; the Business downloads it in the Stripe payment portal. The Business’s Customers pay the Business directly (on site; the Provider does not yet offer advance card payments to the Business’s account) — the Provider charges no percentage of Business ↔ Customer transactions.

The subscription is monthly or annual and renews automatically. You can cancel at any time in Settings → Billing and subscription (/dashboard/billing → Stripe payment portal). After cancellation you remain on the paid plan until the end of the current billing period.

When a business is deleted (Settings → Advanced (delete business), /dashboard/settings/danger, or on request), we provide a 7-day period for restoring it. After it expires, the data is irreversibly deleted — except for invoices issued by the business; as accounting documents we archive them for 10 years from the end of the year of issue (§ 35(3) of Slovak Act No. 431/2002 Coll.) and then delete them.

The Provider provides the service with professional care. We strive for the highest possible availability, but we do not guarantee uninterrupted availability. We are not liable for outages of third-party services (in particular hosting, database, e-mail, SMS and payments — list in section 5 of the Privacy policy) unless we caused them; we handle them through our incident procedure.

The User is responsible for the accuracy of the data it enters into the service. It agrees not to use the service for illegal purposes, spam or the infringement of third-party rights. Repeatedly creating businesses in order to obtain the trial period again (a different name, e-mail or IČO of the same business) constitutes abuse; we may end the trial period of such a business. Webhooks and integrations must point to the User’s own systems or approved third parties.

7a.1 The Business is responsible for the content it publishes on its page (name, service descriptions, images, prices). The content must not be illegal, misleading or infringe the rights of third parties.

7a.2 We accept notices of illegal content under Art. 16 of Regulation (EU) 2022/2065 (Digital Services Act) via the “Report content” (Nahlásiť obsah) link on the business’s page or by e-mail to podpora@terminuj.com (point of contact in the Legal notice). They are reviewed by a person without undue delay, and we inform the notifier of the outcome.

7a.3 We may disable access to illegal content or content in breach of these Terms, restrict the display of the Business’s page or suspend the account. We always give the Business a clear and specific statement of reasons under Art. 17 DSA (what we restricted, why, on what basis and how it can seek redress).

7a.4 The Business may contest the decision at podpora@terminuj.com; it will be reviewed by a person other than the one who made the decision. This is without prejudice to its right to go to court. We do not use automated content moderation tools.

We are liable for damage under the Commercial Code (§ 373 et seq.); we are not liable for damage caused by circumstances excluding liability (§ 374). The parties declare that the damage foreseeable at the time the contract is concluded (§ 379) will as a rule not exceed the amount the User paid for the service in the last 12 months. The User prevents damage by regularly downloading (exporting) its data (§ 384).

These Terms are governed by the law of the Slovak Republic. The parties will try to settle disputes amicably; otherwise they will be decided by the competent court of the Slovak Republic.

The Provider may change the Terms. You will be informed of changes by e-mail at least 14 days in advance (30 days for a price change). If you do not agree with a change, you may terminate the contract without penalty before the change takes effect.
